These Terms and Conditions ("Terms") govern your access to and use of UnoVera Ltd's software-as-a-service platform (the "Service"). By signing up, accessing, or using the Service, you agree to be bound by these Terms.

1Definitions

• Service: The software platform, tools, and associated services provided by UnoVera Ltd.
• User / Customer: Any individual or entity who registers for or uses the Service.
• Subscription: Access to the Service provided on a recurring basis (monthly, annual, or other periods).

2Eligibility

You must be at least 18 years old and have legal authority to enter into these Terms to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3Account Registration

• Users must provide accurate and complete information during registration.
• Users are responsible for maintaining the confidentiality of their account credentials.
• Any activity on your account is your responsibility.

4Subscription and Payment

• The Service is offered on a subscription basis.
• Payment must be made through the payment methods accepted by UnoVera Ltd, including Stripe.
• Fees are billed in advance and are non-refundable, except as required by law.
• Lock-In Clause: Subscriptions include a minimum commitment period of 12 months.

5Lock-In Period and Cancellation

• Customers agree to a minimum subscription period of 12 months ("Lock-In Period").
• Early cancellation before the Lock-In Period ends will result in an early termination fee equal to the full 12-month subscription fee.
• After the Lock-In Period, users may cancel subscriptions at any time, and termination will be effective at the end of the current billing cycle.

6Use of the Service

• Users agree to use the Service only for lawful purposes.
• Users shall not attempt to reverse engineer, hack, or misuse the Service.
• UnoVera Ltd may suspend or terminate accounts for violations of these Terms.

7Intellectual Property

• All intellectual property rights in the Service remain with UnoVera Ltd.
• Users are granted a limited, non-exclusive, non-transferable license to use the Service.

8Data and Privacy

• Your use of the Service is subject to our Privacy Policy.
• We may store and process data as necessary to provide the Service.

9Termination

• Either party may terminate the agreement after the Lock-In Period by providing written notice.
• Upon termination, access to the Service will cease at the end of the billing cycle, and all unpaid fees become immediately due.

10Disclaimers and Limitation of Liability

• The Service is provided "as-is" and "as available."
• UnoVera Ltd disclaims all warranties, express or implied.
• In no event shall UnoVera Ltd be liable for indirect, incidental, or consequential damages.

11Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom.

12Changes to Terms

UnoVera Ltd reserves the right to modify these Terms at any time. Users will be notified of material changes, and continued use constitutes acceptance.
